Written Scope & KPI Schedule
This is the engagement template, not a completed client agreement. Bracketed fields require mutual written agreement before work begins; they are not promised results. Only the services selected in the signed Written Scope apply.
Part 1 — Engagement & Satisfaction Guarantee
Client: [legal name]. Agency contracting entity: [confirmed legal name / DBA Hero Digital Marketing Agency]. Effective date: [date]. Selected services and deliverables: [list]. Authorized approvers: [names].
Satisfaction Guarantee. Hero Digital Marketing Agency offers a satisfaction-based payment guarantee. Prior to the start of any engagement, Hero Digital and the Client will agree in writing on specific, measurable performance targets (Agreed KPIs), the deliverables, the timeline, and all applicable fees (the Written Scope). The Client is invoiced and payment becomes due only when the Agreed KPIs in the Written Scope have been met. If the Agreed KPIs are not met within the agreed timeline, the Client owes no fee for that period and Hero Digital will continue work at no charge until the Agreed KPIs are met or the Written Scope is revised by mutual written agreement. This guarantee applies only to the specific Agreed KPIs set out in the Written Scope. Results depend on market conditions, competition, budget, offer, and other factors; the Agreed KPIs are the sole measure of this guarantee. No other guarantee, express or implied, is given. Website builds are separate: the build is $0 and hosting is $20/month, beginning only after the Client approves the preview (see Pricing and Refund policy).
Part 2 — Agreed KPIs & Attribution
Before work begins, the Written Scope fixes each exact Agreed KPI, target, baseline, measurement period, deadline, attribution rules, data source of record and named person who confirms achievement. No target, source or confirmer may be changed without mutual written agreement. Agency reporting alone does not establish achievement.
Complete every bracketed field, name the exact account/property and both people, and agree timezone, baseline dates, reporting access, exclusions, duplicate/spam handling and evidence review deadline. Specify the corresponding setup-fee KPI explicitly; delivery of setup alone does not earn the fee unless that is the agreed measurable acceptance KPI. Missing data or a disputed report does not establish achievement; an unmet or unconfirmed KPI does not trigger payment. Attribution counts only records within the agreed period and rules, not unrelated sales or duplicate channel claims.

Part 3 — Fees & Approved Costs
CRM setup $797, Google PPC Ads setup $1,797 and SEO setup $1,597 are inside the Satisfaction Guarantee. Each one-time setup fee is earned, invoiced and payable only when its corresponding Agreed KPI in the Written Scope is met and confirmed against the agreed data source of record.
Monthly agency fees: [amount per selected service and period]. Other quoted agency work: [amount, deliverables and corresponding Agreed KPI]. No agency fee becomes due before its agreed achievement condition. No automatic charge or public payment link is created by this template.
Only advertising media spend and third-party costs are outside the Satisfaction Guarantee. Each cost, recipient, amount or agreed spending cap, and any non-refundable condition must be disclosed and approved in writing before work begins. Only these costs may be non-refundable, subject to applicable law and any credit or refund actually available from the provider. Agency service and setup fees are not advertising media spend or third-party costs.
Free build applies to standard template sites. Custom features, redesigns, and integrations are quoted separately. Hosting is $20/month and begins only after you approve your preview. Hosting follows the separate preview-approval rule in the verbatim guarantee above; preview approval is the written acceptance milestone, not a campaign-performance claim.
Part 4 — Reporting & Written Approval
Reporting dates: [dates]. Evidence access: [account/export access]. Confirmation deadline and dispute review process: [agreed details]. The named confirmer checks the source-of-record evidence against each fixed KPI and records achievement in writing. Silence is not approval. Changes to targets, attribution, fees or deadlines require both parties’ written agreement before they take effect; they cannot retroactively make an unmet KPI payable.
Part 5 — Term, Cancellation & Exit
Start date: [date]. KPI deadlines and measurement periods: [dates per service]. Renewal and ordinary cancellation notice: [agreed terms]. These terms cannot restrict the missed-KPI exit right below.
If an Agreed KPI is not met by its written deadline, the Client may terminate the affected service unilaterally by written notice at any time from that missed deadline until the KPI is met or a revised Written Scope is mutually agreed in writing. No agency fee for the unmet KPI or affected period, unearned setup fee, termination penalty or exit fee is due. The Client need not accept continued work or a revised scope. Already earned fees and approved advertising media spend or third-party costs remain subject to the Written Scope and applicable law.
No long-term hosting contract. Hosting may be cancelled before the next billing cycle. After a missed Agreed KPI deadline, the Client may terminate the affected service unilaterally without an exit penalty — see Terms of Service. Written exit notices may be sent to support@herodigitalmarketingagency.com. Applicable legal rights remain unchanged.
Part 6 — Ownership & Handover
The Client retains ownership of its pre-existing assets, content, accounts and data. On exit, Hero Digital Marketing Agency hands over client-owned and transferable engagement assets, content, files, campaign records, tracking configurations, account access and credentials securely, without withholding them to collect an unearned fee or imposing an exit fee. The Written Scope fixes the handover inventory, recipient and deadline before work begins. Platform, template, stock-media and third-party license restrictions must be disclosed in advance; non-transferable licenses do not prevent return of client-owned content and data.
Asset inventory and ownership/license status: [list]. Secure handover method and Client recipient: [details]. Handover deadline: [date or agreed interval after exit]. Export format and disclosed platform limitations: [details]. Client accounts stay under Client control; agency access is revoked after handover. No continued agency subscription is required to receive transferable assets or client-owned data.
